Terms of service

Terms of Service

OVERVIEW

Welcome to Twosoule! The terms “we”, “us” and “our” refer to Twosoule, operated by Adelle Ventures UG (haftungsbeschränkt). We operate this online store and website, including all related information, content, features, tools, products and services, to provide you with a shopping experience.

Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer our products and services to you.

These Terms of Service, together with any policies referred to herein, govern your access to and use of our website and services.

Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of our website, you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use our website or services.

Additional terms or policies may apply to particular services or features offered through our website. Where this is the case, we will make those terms available to you.

Our online store is intended for customers who are legally able to enter into binding contracts. If you are under the age of majority in your place of residence, you may use our website only with the involvement and consent of a parent or legal guardian.

1. ACCESS AND ACCOUNT

By using our website, you confirm that the information you provide is accurate, complete and current.

You may be able to create a customer account to access certain features of our store. You are responsible for maintaining the confidentiality of your account credentials and for all activities carried out through your account.

Please notify us promptly at info@twosoule.com if you believe your account has been accessed without authorisation or if you become aware of any security issue.

You agree not to create an account using false information, impersonate another person or use our services for unlawful purposes.

We reserve the right to suspend or close an account where there is a legitimate reason to do so, including suspected fraud, security concerns or a material breach of these Terms. Any such action will be subject to applicable law and will not affect your mandatory consumer rights.

2. OUR PRODUCTS

We make reasonable efforts to display our products as accurately as possible, including their colours, materials, dimensions and other characteristics. However, the appearance of products may vary depending on your device, screen settings and display.

Product descriptions, photographs and specifications are provided to help you make an informed purchasing decision. Please read the information provided on each product page carefully before placing an order.

Unless expressly stated otherwise, product photographs are illustrative and may not show every detail or variation.

We reserve the right to change product descriptions, discontinue products or limit quantities where permitted by law. Such changes will not affect an order that we have already accepted, except where a change is required by law or agreed with you.

Nothing in this section limits your statutory rights if a product is defective or does not conform to the contract.

3. ORDERS

When you place an order through our website, you submit an offer to purchase the selected products.

After submitting your order, you may receive an automatic email acknowledging receipt of your order. This acknowledgement does not necessarily mean that your order has been accepted.

A purchase contract is formed when we accept your order, for example by sending an order confirmation, subject to applicable law and the information provided during checkout.

Please review your order carefully before submitting it. If you notice an error, contact us as soon as possible at info@twosoule.com. We cannot guarantee that changes or cancellations will be possible once an order has been processed or dispatched.

We reserve the right to refuse or cancel an order where permitted by law, for example if a product is unavailable, a payment cannot be authorised, a material pricing error has occurred or we have reasonable grounds to suspect fraudulent activity. If payment has already been taken for an order that is cancelled, we will arrange an appropriate refund.

Your statutory right of withdrawal and other mandatory consumer rights remain unaffected.

4. PRICES AND BILLING

All prices displayed on our website are in euros (€) and include applicable German VAT (Umsatzsteuer), unless expressly stated otherwise.

Shipping costs, where applicable, are displayed separately before you complete your purchase. Standard shipping is free for orders of €50 or more. For orders below €50, the applicable standard shipping charge will be shown at checkout.

The total price payable, including applicable taxes and shipping costs, will be displayed before you place your order.

We reserve the right to change product prices at any time. A price change will not affect an order that we have already accepted.

We make reasonable efforts to ensure that prices and product information are accurate. If a material pricing error is identified in relation to your order, we will contact you to resolve the issue before proceeding, where required by law.

You agree to provide accurate, complete and current billing and payment information for purchases made through our store. You also agree to update relevant information where necessary so that we can complete your transaction and contact you about your order.

We accept the payment methods displayed during checkout. Payment processing may be provided by third-party payment service providers and may be subject to their terms and privacy policies.

Where applicable, VAT will be reflected in your order confirmation and invoice.

5. SHIPPING AND DELIVERY

We ship to the destinations available during checkout. Available shipping options, costs and estimated delivery times will be displayed before you complete your order.

Standard shipping is free for orders of €50 or more. For orders below €50, standard shipping costs apply. Any applicable shipping charges will be shown during checkout.

Orders are generally processed on business days, excluding public holidays in Germany. Processing and delivery times are estimates and may vary depending on product availability, destination, shipping provider and circumstances beyond our reasonable control.

Where tracking information is available, we will provide it to you.

If your order is delayed, missing or delivered with an apparent issue, please contact us at info@twosoule.com and include your order number. We will help investigate the matter.

Unless otherwise required by law, delivery obligations and the transfer of risk are governed by applicable German and European consumer law. Where you are a consumer, the risk of accidental loss or damage generally passes to you when you or a third party designated by you, other than the carrier, takes possession of the goods.

Nothing in these Terms excludes our responsibility for loss, damage or delay where we are legally responsible.

For further information, please refer to our Shipping Policy.

6. INTELLECTUAL PROPERTY

All content on our website, including but not limited to text, product descriptions, photographs, images, graphics, logos, designs, layout and other materials, is owned by or licensed to us and is protected by applicable intellectual property laws.

The name Twosoule, our branding, logos and other distinctive elements may not be copied, reproduced, distributed, modified or used without our prior written permission, except where permitted by law.

You may access and use our website for personal, non-commercial purposes. You must not reproduce, republish, distribute, modify, sell or commercially exploit any part of our website or its content without our prior written consent.

Nothing in these Terms transfers any intellectual property rights to you.

7. OPTIONAL TOOLS

We may provide access to tools, features or services operated by third parties. We do not necessarily monitor or control these tools and may have limited influence over how they operate.

Any optional third-party tools are provided subject to their own terms and conditions and, where applicable, their privacy policies.

Your use of optional tools is at your own discretion. We are not responsible for third-party tools to the extent permitted by applicable law. Nothing in this section excludes liability that cannot legally be excluded.

We may introduce, modify or discontinue optional tools or features where permitted by law.

8. THIRD-PARTY LINKS

Our website may contain links to third-party websites, applications or services. These links are provided for convenience or informational purposes.

We do not control and are not responsible for the content, accuracy, privacy practices or policies of third-party websites or services.

Accessing third-party websites is at your own discretion and subject to the relevant third party’s terms and policies. We encourage you to review those terms and policies before using the relevant service or providing personal information.

A link to a third-party website does not necessarily constitute an endorsement of that website, its products or its services.

9. RELATIONSHIP WITH SHOPIFY

Our online store is hosted by Shopify, which provides the e-commerce platform that allows us to offer our products and services.

However, purchases made through our store are transactions between you and Adelle Ventures UG (haftungsbeschränkt), operating Twosoule, unless expressly stated otherwise.

Shopify is not the seller of our products and is not responsible for our products, fulfilment, returns, refunds or customer service, except to the extent required by applicable law.

Your use of our store may also be subject to Shopify’s applicable terms, policies and technical conditions. You can review Shopify’s terms on Shopify’s website.

Nothing in this section limits any rights or remedies you may have under applicable consumer protection law.

10. PRIVACY POLICY

Personal information collected through our website is handled in accordance with our Privacy Policy.

By using our website, you acknowledge that you have had the opportunity to review our Privacy Policy, which explains how we collect, use, store and disclose personal information and describes your rights under applicable data protection law.

Our store is hosted by Shopify, and certain personal information may be processed by Shopify and other service providers where necessary to operate the store, process payments, manage orders, provide customer accounts and deliver services.

For further information about personal data processing, your rights and how to contact us, please read our Privacy Policy.

11. FEEDBACK

If you send us suggestions, ideas, reviews, feedback or other communications (“Feedback”), you grant us permission to use that Feedback for purposes related to improving, operating and promoting our business, subject to applicable law and our Privacy Policy.

This permission does not transfer ownership of any intellectual property rights you hold in your Feedback. We will handle personal information contained in Feedback in accordance with applicable data protection law.

You confirm that any Feedback you submit does not unlawfully infringe another person’s rights, contain unlawful material or include confidential information that you are not authorised to disclose.

We are not obliged to keep Feedback confidential, pay compensation for Feedback or respond to every submission, except where required by law or expressly agreed otherwise.

We may remove or decline to publish Feedback that we reasonably consider unlawful, abusive, misleading, discriminatory or otherwise inappropriate.

12. ERRORS, INACCURACIES AND OMISSIONS

Occasionally, information on our website may contain typographical errors, inaccuracies or omissions relating to product descriptions, prices, promotions, shipping charges, delivery estimates or availability.

We reserve the right to correct errors, update information or cancel an order where permitted by law if information is materially incorrect.

If a material error affects an order that you have placed, we will contact you and take any steps required by applicable law.

We are not entitled to change the terms of an accepted order unilaterally where doing so would violate your statutory rights.

13. PROHIBITED USES

You may use our website only for lawful purposes. You must not use our website or its content:

  • For any unlawful, fraudulent or misleading purpose.

  • To violate applicable laws or regulations.

  • To infringe our intellectual property rights or the rights of others.

  • To harass, abuse, threaten, defame or discriminate against another person.

  • To submit false, misleading or unauthorised information.

  • To transmit malicious code, viruses or other harmful material.

  • To interfere with the security, availability or proper functioning of our website.

  • To attempt unauthorised access to our systems, accounts or data.

  • To collect or misuse personal information about other users.

  • To circumvent security measures or interfere with checkout, payment or other website functions.

  • To engage in conduct that could damage our business or prevent others from using our website lawfully.

We may restrict or terminate access to our website where there are legitimate grounds to do so and where permitted by law.

Nothing in this section limits rights or activities that cannot lawfully be restricted.

14. AGENTS

You may not use our website to act as an agent, reseller or representative of another person in a way that misrepresents your authority or violates these Terms or applicable law.

If you access or use our website on behalf of a business or another legal entity, you confirm that you are authorised to act on its behalf.

We may refuse transactions involving suspected fraud, unauthorised representation or other unlawful conduct, subject to applicable law.

15. TERMINATION

We may suspend or terminate your access to our website or services where we have legitimate grounds to do so, including a material breach of these Terms, suspected fraud, security risks or unlawful activity.

Termination or suspension will not affect rights and obligations that arose before the relevant date. Any provisions that by their nature should continue to apply after termination will remain in effect to the extent permitted by law.

If you have placed an order before your account or access is terminated, the termination will not automatically cancel that order or remove any rights you have under applicable law.

You may stop using our website at any time. You may also contact us if you wish to request the closure of your customer account, subject to any legal retention obligations.

16. DISCLAIMER OF WARRANTIES

We make reasonable efforts to keep our website available, secure and accurate. However, we cannot guarantee that the website will always be uninterrupted, error-free or available at all times.

Product descriptions and website content are provided to help you understand our products and services. Your statutory rights regarding product conformity, quality, safety and fitness for the purposes required by law remain unaffected.

To the extent permitted by law, we do not warrant that access to the website will be uninterrupted or that all technical errors will be corrected immediately.

Nothing in these Terms excludes or restricts any warranty, guarantee or consumer right that cannot legally be excluded or restricted under applicable German or European law.

17. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits our liability where such exclusion or limitation is prohibited by law.

We remain liable without limitation for damages caused intentionally or by gross negligence, for injury to life, body or health, and in any other circumstances where liability cannot lawfully be excluded or limited.

In cases of slight negligence, our liability is limited to breaches of material contractual obligations where permitted by law. In such cases, liability is limited to the foreseeable damage typically associated with the relevant contract, to the extent legally permissible.

Mandatory product liability, statutory consumer rights and liability for breaches of applicable data protection law remain unaffected.

We are not responsible for losses caused exclusively by circumstances for which we are not legally responsible, subject to applicable law.

18. INDEMNIFICATION

To the extent permitted by applicable law, you agree to be responsible for losses, claims or reasonable costs arising directly from your unlawful use of our website or your material breach of these Terms, where you are legally responsible for those losses.

This section does not require you to indemnify us for losses caused by our own unlawful conduct, negligence or breach of our legal obligations.

Nothing in this section limits mandatory consumer rights or other protections that cannot lawfully be waived.

19. SEVERABILITY

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or limited to the extent necessary to make it enforceable where legally possible.

If this is not possible, the affected provision will be severed to the extent required. The remaining provisions will continue to apply, provided that doing so is consistent with applicable law.

This section does not override mandatory statutory rules governing invalid contractual terms.

20. WAIVER; ENTIRE AGREEMENT

If we do not exercise or enforce a right under these Terms immediately, this does not mean that we waive that right.

These Terms, together with the policies and information expressly incorporated into them, govern your use of our website and the relevant contractual relationship.

If there is a conflict between these Terms and a mandatory legal provision, the mandatory legal provision will prevail.

Nothing in this section limits any rights or remedies that consumers have under applicable law.

21. ASSIGNMENT

You may not transfer or assign your rights or obligations under these Terms to another person without our prior consent, where such consent is legally required.

We may transfer our rights or obligations in connection with a business reorganisation, merger or transfer of business, provided that the transfer is permitted by law and does not unlawfully reduce your rights.

Any assignment or transfer remains subject to mandatory consumer protection rules.

22. GOVERNING LAW

These Terms of Service are governed by the laws of the Federal Republic of Germany.

If you are a consumer residing in another country, this choice of law does not deprive you of the protection afforded by mandatory provisions of the law of your country of habitual residence where such protection applies under relevant conflict-of-law rules.

Nothing in these Terms restricts your right to bring a claim before a court that has jurisdiction under applicable law.

23. TRANSLATIONS

These Terms of Service may be made available in more than one language for convenience.

If a translation differs from the English version, the applicable version will be determined in accordance with applicable law and the information provided to you when entering into the contract.

Nothing in this section limits any rights you may have under mandatory consumer protection law.

24. HEADINGS

The headings used in these Terms are included for convenience and readability only. They do not affect the interpretation of these Terms.

25. ELECTRONIC COMMUNICATIONS

When you use our website or contact us electronically, you agree that we may communicate with you electronically for purposes related to your use of the website, your account or your orders.

We may contact you by email or through other contact details you provide, where appropriate and permitted by law.

Order confirmations, payment notifications and other transactional communications are not the same as marketing communications. We will send marketing communications only where we have an appropriate legal basis and, where required, your consent.

Electronic communications may satisfy legal requirements for written communications where permitted by applicable law. This does not remove any mandatory formal requirements that must be met by other means.

26. CHANGES TO TERMS OF SERVICE

We may update these Terms of Service from time to time to reflect changes to our business, website, services or legal obligations.

The latest version will be published on this page with an updated revision date where appropriate.

Changes will apply from the date they are published, unless a different effective date is stated or applicable law requires otherwise. Changes will not retroactively alter an existing contract where doing so is not permitted by law.

Your continued use of our website after updated Terms are published constitutes acceptance of the updated Terms only to the extent permitted by applicable law. Where your express consent is legally required, we will seek it.

We encourage you to review this page periodically.
